1. Agreement to Terms

By placing an order with CoAxiom Services LLC ("CoAxiom," "we," "us," "our"), you ("Client," "you," "your") agree to be bound by these Terms of Service and all applicable Service-Specific Terms. If you do not agree to these terms, do not use our services.

2. Services Overview

CoAxiom provides AI-accelerated content creation services and industrial training simulation development services, including but not limited to:

• Creative Writing Services (manuscripts, books, content development)
• Academic Writing Services (research support, dissertations, papers)
• Grant Writing Services (federal, foundation, multi-phase proposals)
• Technical Documentation Services (safety procedures, OSHA compliance, training materials)
• Industrial Training Simulations (Unity WebGL experiences, SCADA training, safety simulations)

Each service category has specific terms outlined in the Service-Specific Addendums below.

3. Account and Eligibility

3.1 Age Requirement

You must be at least 18 years old to use our services. By using our services, you represent that you are at least 18 years old.

3.2 Authority

If you are entering into this agreement on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

3.3 Accuracy

You agree to provide accurate, current, and complete information during the order process and to update such information as necessary.

4. Payment Terms

4.1 Pricing

Prices for our services are listed on our website and are subject to change. The price you see at the time of purchase is the price you will be charged.

4.2 Payment Methods

We accept payment via credit card, debit card, PayPal, wire transfer, etc. Payment is due at the time of order unless otherwise agreed in writing.

4.3 Taxes

Prices do not include applicable sales tax, use tax, or other taxes. You are responsible for all applicable taxes.

4.4 Late Payment

If payment is not received within the agreed timeframe, CoAxiom reserves the right to suspend services until payment is received.

4.5 Currency

All prices are quoted in United States Dollars (USD).

5. Intellectual Property Rights

5.1 Client Ownership of Deliverables

Upon full payment, you own 100% of the final deliverables we provide. This includes all text, graphics, code, and materials created specifically for your project.

5.2 CoAxiom Ownership of Process

CoAxiom retains ownership of all proprietary methodologies, AI prompts, templates, workflows, internal tools, and business processes used to create deliverables.

5.3 Portfolio Use

CoAxiom may showcase completed work in our portfolio unless you specifically request confidentiality in writing.

5.4 Third-Party Content

If we integrate third-party assets, you receive a license to use those assets within the final deliverable but do not own the underlying third-party content.

5.5 Client-Provided Materials

You retain ownership of all materials you provide to us. You grant CoAxiom a temporary license to use these materials solely for creating your deliverables.

6. Client Responsibilities

6.1 Provide Required Information

You agree to provide all necessary information in a timely manner.

6.2 Timely Communication

Delays in client communication may extend project timelines.

6.3 Accuracy of Information

We are not liable for errors resulting from inaccurate client-provided information.

6.4 Final Review

You are responsible for thoroughly reviewing all deliverables before approval.

6.5 Prohibited Uses

You agree not to use our services for illegal purposes or academic dishonesty.

7. Revisions and Modifications

7.1 Included Revisions

Each package includes a specified number of revision rounds. Revisions must be requested within [30 days] of delivery.

7.2 What Constitutes a Revision

A revision is a refinement to existing content. New content or scope changes constitute additional work.

7.3 Additional Revisions

Revisions beyond the included rounds will be billed at our standard hourly rate or as quoted.

8. Delivery and Timelines

Timelines provided are estimates and are not guaranteed unless explicitly stated in writing.

Deliverables will be provided electronically via email or file-sharing service.

8.3 Acceptance

9. Cancellations and Refunds

9.1 Client Cancellation

Cancellation after work has begun will result in charges for work completed to date.

9.2 Refund Policy

If we fail to deliver within the agreed timeframe, you will receive a full refund.

9.3 Quality Disputes

We offer up to [2] additional revision rounds at no charge for quality disputes. No refunds are provided after final acceptance.

10. Limitation of Liability

10.1 No Outcome Guarantees

CoAxiom does not guarantee grant funding, publication, or specific grades.

10.2 Maximum Liability

Our total liability is limited to the amount you paid for the specific service.

11. Indemnification

You agree to indemnify CoAxiom Services LLC from claims arising from your use of our deliverables or violation of these terms.

12. Dispute Resolution

12.1 Informal Resolution

You agree to attempt good-faith informal resolution for [30 days].

12.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in Scott County, Iowa.

13. Governing Law

These terms are governed by the laws of the State of Iowa, United States.

14. Changes to Terms

We reserve the right to modify these terms. Continued use of services after changes constitutes acceptance.

15. Miscellaneous

These terms constitute the entire agreement. If any provision is found invalid, the remaining provisions remain in effect.

ADDENDUM A: CREATIVE WRITING SERVICES
Our process uses AI assistance for initial drafting with human editorial review. You own full publication rights and are listed as the sole author.

ADDENDUM B: ACADEMIC WRITING SERVICES
Services are provided as research assistance. You are responsible for ensuring compliance with your institution's academic integrity policies.

ADDENDUM C: GRANT WRITING SERVICES
We provide professional positioning and drafting, but do not guarantee funding. You are responsible for all direct communication with funding agencies.

ADDENDUM D: TECHNICAL DOCUMENTATION SERVICES
Documentation is prepared by experts with 20+ years of experience. We do not guarantee regulatory approval; final compliance is the employer's responsibility.

ADDENDUM E: TRAINING SIMULATION SERVICES
Simulations are developed in Unity WebGL. You receive source code for internal use. Performance is hardware-dependent.
